INTELLECTUAL PROPERTY

Background

  1. The Client has determined they require complete privacy of all their work being provided to the Contractor for predetermined purposes.
  2. The Contractor is being retained as an independent freelance contractor for the Client. This Agreement covers the information sharing restrictions placed upon the Contractor for the Client.

IN CONSIDERATION OF and as a condition of the Client retaining the services of the Contractor, confidential information will be provided. This Agreement acts as a receipt of consideration for the following terms:

  1. All written and oral information pertaining to the Client’s intellectual property, and any subsequent materials provided by the Client, shall be kept between the Client and the Contractor.
  2. No mention of the Client, the Client’s intellectual property may be shared with the public.
  3. Client’s intellectual property may not be presented in portfolios or social media in part or whole.
  4. All private information regarding the Client, as always, must be kept private.

Obligations of Non-Disclosure

  1. Contractor must not disclose any information to the public, before, on, or after publication of the Client’s intellectual property.
  2. Contractor may collect pertinent information for personal use only, in accordance with current and future projects.
  3. Contractor MAY disclose information to the proper authorities only if:
    1. Illegal activity is suspected.
    2. Child Pornography, child endangerment, or child abuse is suspected.
    3. Animal abuse of any kind is suspected.
    4. Plagiarism or theft of intellectual property is suspected.
  4. Agreement MAY be void if:
    1. Intellectual property is determined to subjugate, encourage hate of, or incite violence against any group of people.
    2. Intellectual property is determined to spread misinformation outside of fiction and story crafting, encourage hate of marginalized groups, or promote assault or murder of any group of people.
    3. Intellectual property encourages suicide, sexual assault, or sexual abuse.
